Terms of Service

These Terms of Service ("Terms") govern your use of ServerBridge (the "Software"), provided by Lee Crowe Software Solutions LLC ("we," "us," or "our"). By purchasing, downloading, or using ServerBridge, you agree to these Terms.

1. The software

ServerBridge is a desktop application that helps migrate file server content to Microsoft 365 (SharePoint, OneDrive, and Teams) using your own Microsoft 365 tenant credentials. We do not host, store, or have access to the files you migrate — all data moves directly between your source file server and your Microsoft 365 tenant via the Microsoft Graph API.

2. License

The free tier of ServerBridge may be used without restriction. ServerBridge Pro is unlocked with a one-time purchase and a license key tied to a single device. We grant you a non-exclusive, non-transferable license to use ServerBridge Pro for as long as this Agreement remains in effect — there is no subscription or recurring charge for continued use after purchase.

3. Billing

ServerBridge Pro is a one-time purchase processed through our payment processor, Stripe. There is no recurring or renewal billing; you pay once and the license does not expire on its own.

5. Acceptable use

You agree not to reverse-engineer, redistribute, or resell ServerBridge or its license keys, and not to use it in a manner that violates applicable law or the terms of your Microsoft 365 agreement.

6. Intellectual property

ServerBridge, including all copies, modifications, and derivative works thereof, is and remains the exclusive property of Lee Crowe Software Solutions LLC. These Terms do not convey any ownership interest in the software, only a limited right of use. All rights not expressly granted to you are reserved.

7. Disclaimer of warranties

ServerBridge is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability and fitness for a particular purpose. You are responsible for verifying migrated content and maintaining your own backups before and during any migration.

8. Limitation of liability

To the maximum extent permitted by law, Lee Crowe Software Solutions LLC is not liable for any indirect, incidental, or consequential damages arising from your use of ServerBridge, including data loss. Our total cumulative liability to you shall not exceed the greater of (a) the total amount you paid us for ServerBridge, or (b) one hundred United States dollars (USD $100.00). Nothing in this section limits either party's liability for gross negligence, willful misconduct, or fraud, or any other liability that cannot be excluded or limited under applicable law. The full liability terms are set out in Section 7 of the ServerBridge End User License Agreement.

9. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall first be submitted to non-binding mediation, and if unsuccessful, to binding arbitration in Kentucky in accordance with the rules of the American Arbitration Association, as further described in Section 12.2 of the ServerBridge End User License Agreement.

10. Changes to these terms

We may update these Terms from time to time. Continued use of ServerBridge after an update constitutes acceptance of the revised Terms.
