Terms of Service

These Terms of Service ("Terms") govern your use of the ServerBridge License Auditor (the "Software"), provided by Lee Crowe Software Solutions LLC ("we," "us," or "our"). By purchasing, downloading, or using the Software, you agree to these Terms.
1. The software
The License Auditor is a tool that connects to your Microsoft 365 tenant using read-only, delegated Microsoft Graph permissions, under your own sign-in, to identify unused and over-provisioned licenses and produce a report. It does not migrate, modify, or delete any data in your tenant, and it stores nothing on our servers — your report and exports stay on your own device.
2. License
The free tier may be used without restriction. The paid tiers (Starter, Team, Enterprise) are unlocked with a license key. We grant you a non-exclusive, non-transferable license to use the paid features for the one-year License Term, as further described in the End User License Agreement.
3. Billing
The paid tiers are a flat annual purchase processed through our payment processor, Stripe. The license is valid for one (1) year and does not renew automatically; to continue after the term, you purchase a new license. There is no automatic recurring charge.

5. Acceptable use
You agree not to reverse-engineer, redistribute, or resell the Software or its license keys, and not to use it in a manner that violates applicable law or the terms of your Microsoft 365 agreement. You are responsible for having authority to run the scan against the tenant you connect to.
6. Informational output
The Software's dollar figures are estimates based on public list prices and the activity data available in your tenant. Its findings and recommendations are informational only and are not financial, tax, licensing, or legal advice. You are responsible for verifying any figure or recommendation before acting on it.
7. Intellectual property
The Software (including the free community scan, which is subject to separate license terms) is and remains the exclusive property of Lee Crowe Software Solutions LLC. These Terms convey no ownership interest, only a limited right of use as expressly set forth in these Terms or the applicable separate license. All rights not expressly granted are reserved.
8. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEE CROWE SOFTWARE SOLUTIONS LLC DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. We do not warrant that its figures will be accurate or that it will remain compatible with all versions of Microsoft 365 or the Microsoft Graph API.
9. Limitation of liability
To the maximum extent permitted by law, Lee Crowe Software Solutions LLC is not liable for any indirect, incidental, or consequential damages arising from your use of the Software. Our total cumulative liability shall not exceed the greater of (a) the total amount you paid us for the Software in the preceding twelve (12) months, or (b) one hundred United States dollars (USD $100.00). Nothing in this section limits liability for gross negligence, willful misconduct, or fraud, or any liability that cannot be excluded under applicable law. 10. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Kentucky, United States of America, without regard to its conflict of law provisions. Any dispute shall first be submitted to non-binding mediation, and if unsuccessful, to binding arbitration in Kentucky under the rules of the American Arbitration Association, as further described in Section 12.2 of the End User License Agreement. Each party hereby irrevocably waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any legal proceeding directly or indirectly arising out of or relating to these Terms or the transactions contemplated hereby.
11. Changes to these terms
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or through the Software. Your continued use of the Software after such notice constitutes acceptance of the revised Terms.
12. Termination and survival
Upon termination of your license or these Terms, your right to use the Software ceases immediately. Sections 6 (Informational output), 7 (Intellectual property), 8 (Disclaimer of warranties), 9 (Limitation of liability), and 10 (Governing law and venue) shall survive any termination or expiration of these Terms.
